The Delaware Limited Liability Company Act creates a flexible form of business organization in Delaware, the Limited Liability Company. In addition to the Delaware Statutory Trust Act, the Act permits a business entity to provide for pass-through taxation and for the limited liability of all parties involved. This manual is designed to acquaint the practitioner with the benefits of the Act, generally with the practical aspects of using the LLC form of business entity, and with drafting the LLC documents to maximize the benefits of the LLC form. The primary focus of this practice manual is on the relationship between the provisions of the Act and the provisions of an LLC's operative document, the limited liability company agreement. Appendices A and B contain forms of limited liability company agreements. Other forms, in addition to limited liability company agreement provisions, are included within the text of this practice manual.
