John Tucker is an Australian lawyer and tax specialist based in Adelaide. He has led tax practices at several South Australian firms, served as National President of The Tax Institute, and been recognised by Best Lawyers and Doyle’s Guide for his tax, commercial, trusts and estates, and succession-planning expertise.
Background
John Tucker has longstanding ties to South Australia and has been described as one of Strathalbyn’s favourite sons. His early decision to study law was influenced by his father’s wish that he pursue an independent professional career. He began legal practice in Adelaide in the 1960s and subsequently developed a career centred on taxation, commercial transactions, business structures, family businesses, trusts, estates and succession planning.
Education
Tucker studied law at the University of Adelaide. His legal education was followed by practical training as an articled law clerk and by continuing professional development through decades of tax and commercial legal practice, including participation in the work of The Tax Institute.
Career
Tucker began his legal career as a part-time articled law clerk at Cleland Teesdale Smith & Co in early 1966 and became a full partner there on 1 July 1968, remaining with the firm for approximately fourteen years. He subsequently practised as a partner of Finlaysons and later established or led the specialist tax practice associated with Rankine Tucker & Associates. That practice transitioned to Fox Tucker Lawyers in 2010 and to DW Fox Tucker Lawyers in 2014, where he became a director and leader of the taxation team.
His work has focused on complex taxation and commercial matters for Australian and international corporations, family businesses, private clients and not-for-profit organisations. His documented experience includes tax-effective business structures, acquisitions and disposals, restructures, mergers, demergers, buy-backs, share cancellations, structured finance, superannuation, joint ventures, property ventures, retirement villages, shopping centres, urban-renewal developments, estate planning and family succession. He has also represented clients in taxation disputes through negotiations, objections, appeals, litigation and mediation.
Among his reported matters are advice on the demerger and partial sale of a subsidiary to United States purchasers and joint-venture partners; a high-value merger involving scrip-for-scrip rollovers and cash payments into a United States-listed group; the sale of a South Australian national retail chain to private-equity purchasers; the sale of a national wholesale and retail business to a listed purchaser using capital-gains-tax rollover arrangements; and the consolidation and partial sale of an insurance-broking business to a listed purchaser.
