Securities Regulation : Cases and Materials - Containing Selected Cases, Releases and Other Materials Under the Federal Securities Laws -- Preface: This Supplement principally focuses on developments since the cut-off date in late 1997 for the Eighth Edition of Jennings, Marsh, Coffee and Seligman. Although that period has been brief, some developments simply demand attention. Chief among these are the SEC's new "plain English" rules, its revisions to Regulation S, and its continuing internal debate over how to treat alternative trading systems (such as Instinct). A series of recent cases-Banca Crema, Adler, and Checkosky-also have shown a new judicial skepticism at the federal appellate level of positions long treated by the SEC as clearly established. Finally, the Weiner decision is probably the fullest judicial statement on the perennially discussed topic of the asserted "duty to correct." Major legislation also appears to be on the eve of passage as this Supplement goes to press. After curtailing federal securities litigation in 1995 in the Private Securities Litigation Reform Act and preempting much of state "blue sky" regulation in 1997 in the National Securities Markets Improvement Act, Congress this year appears likely to preempt state securities class action (subject to some special "savings" provisions, including one for litigation thought to be essential to the role of the states in establishing corporate governance standards). We believe all these topics merit some treatment in the standard securities regulation course.
